Terms of Service

Effective date: July 24, 2026

These Terms of Service (“Terms”) govern access to powercrestco.com (the “Site”), requests for quotations, and purchases from PowerCrest Components LLC (“PowerCrest,” “we,” “us,” or “our”). By using the Site, approving a quote, submitting an order, or purchasing a component, you agree to these Terms.

If you do not agree, do not use the Site or place an order. Nothing in these Terms limits a consumer right or remedy that cannot lawfully be waived.

1. About PowerCrest

PowerCrest Components LLC is a California limited liability company located in Burbank, California. PowerCrest sources components for rail, marine, and aviation applications.

PowerCrest does not manufacture the components it sells. References to manufacturers, equipment, part numbers, or trademarks are for identification and compatibility discussion only. They do not imply affiliation, sponsorship, authorization, or authorized-reseller status unless PowerCrest expressly confirms such status in writing.

2. Eligibility and authority

You must be at least 18 years old or the age of legal majority where you live, whichever is higher, to place an order.

If you act for a company or other organization, you represent that you have authority to bind it. You are responsible for providing accurate, complete, and current contact, billing, shipping, equipment, and order information.

3. Quote-first and special-order model

PowerCrest is a quote-first sourcing business and does not maintain standing inventory. Components are sourced specifically for the customer after an approved quote and cleared payment. Website content, an RFQ response, or preliminary correspondence does not establish that a component is in stock or available.

Each paid order is a special order. Sourcing begins after cleared payment and receipt of all information reasonably required to process the order.

4. Requests for quotation

An RFQ is a request for information and is not an order, offer, reservation, or guarantee. PowerCrest may accept, reject, or request clarification of an RFQ.

The customer is responsible for providing accurate:

  • part numbers;
  • serial numbers, when applicable;
  • requested condition and quantity;
  • engine, aircraft, vessel, equipment, or application details;
  • required documentation;
  • compatibility requirements; and
  • requested delivery date.

PowerCrest may rely on this information when preparing a quote and sourcing a component.

5. Approved quote controls

The approved written quote and these Terms form the agreement for an order. The quote controls over conflicting Site descriptions, photographs, general marketing content, or informal communications regarding the specific component’s:

  • identity and condition;
  • manufacturer or source classification;
  • documentation;
  • warranty;
  • price;
  • quantity;
  • lead time;
  • shipping terms; and
  • other order-specific requirements.

Only documentation expressly identified in the approved quote is included. Photographs and general descriptions may be illustrative unless the quote identifies them as depicting the specific component.

If an approved quote conflicts with these Terms, the approved quote controls only when it expressly identifies the provision being changed.

6. Quote validity, errors, and order acceptance

Unless the quote states otherwise, a quote is valid for 14 calendar days. Availability, condition, documentation, pricing, and lead time remain subject to reconfirmation.

PowerCrest may correct obvious typographical, clerical, calculation, pricing, or description errors. We may reject an RFQ or decline an order before acceptance.

An automated payment receipt or order acknowledgement does not by itself confirm final acceptance. If payment has been collected and PowerCrest cannot accept the order, or corrected terms are not accepted by the customer, PowerCrest will cancel the order and issue a full refund.

7. Prices, taxes, shipping, and payment

Prices are stated in the approved quote. Unless the quote expressly says otherwise:

  • 100% cleared payment is required before sourcing begins;
  • applicable sales, use, value-added, or similar taxes are additional;
  • outbound shipping, insurance, handling, duties, brokerage, and international charges are additional; and
  • bank, currency-conversion, and intermediary charges are the customer’s responsibility.

Payment must be made using a method PowerCrest accepts. PowerCrest may pause processing while a payment is pending, reversed, disputed, suspected of fraud, or otherwise not finally available.

8. Order cancellation

The customer may cancel an order for any reason by notifying PowerCrest within 48 hours after the order was placed. The period begins at the time shown on the order confirmation. A timely cancellation receives a full refund, including the item price, applicable taxes, and shipping charges, without a cancellation or processing fee.

After 48 hours, the order is non-cancellable unless PowerCrest agrees otherwise in writing, cannot fulfill the order, the approved quote provides otherwise, or applicable law gives the customer a non-waivable cancellation right.

Cancellation requests must be sent to sales@powercrestco.com and should include the order number.

9. Returns, refunds, and warranty claims

The Refund and Return Policy published on the Site is incorporated into these Terms.

PowerCrest’s voluntary return program is limited to a component that materially differs from the approved quote, shipping damage, or a verified defect. Under that program, notice is required within 24 hours after the carrier’s recorded delivery time, written authorization is required before return, and eligibility ends if the component has been installed, operated, disassembled, altered, repaired, misused, contaminated, or damaged after delivery.

Ordering mistakes, inaccurate customer information, incompatibility, changed requirements, buyer’s remorse, and no-longer-needed items do not qualify for a voluntary return.

These voluntary restrictions do not eliminate consumer rights that applicable law does not permit PowerCrest to waive.

10. Availability and inability to fulfill

Supplier availability and sourcing conditions may change after a quote or payment. PowerCrest may cancel and fully refund an order if:

  • the quoted component becomes unavailable;
  • condition or documentation cannot be verified as quoted;
  • the component fails PowerCrest’s outbound inspection;
  • fulfillment would violate applicable law;
  • the customer does not accept necessary corrected terms; or
  • PowerCrest otherwise cannot fulfill the approved order.

If PowerCrest cancels for inability to fulfill, the refund will include all amounts paid for the unfulfilled order. PowerCrest will not be responsible for indirect or consequential loss resulting from the cancellation to the fullest extent permitted by law.

11. Lead times, delays, and delivery

Lead times and delivery dates are estimates unless PowerCrest expressly guarantees a date in writing. Supplier delays, carrier delays, customs review, inspection findings, documentation issues, and events outside PowerCrest’s reasonable control may affect fulfillment.

PowerCrest will provide legally required delay notices and cancellation options. If applicable law requires customer consent to a revised shipment date, PowerCrest will request it. If PowerCrest determines that it cannot ship an order, it will cancel the unfulfilled order and provide the required refund.

PowerCrest remains responsible for a shipment until the carrier records delivery. Risk of loss passes to the customer upon recorded delivery, subject to valid shipping-damage claims and mandatory law.

The customer is responsible for providing a complete and deliverable address, arranging lawful receipt, safeguarding the shipment after delivery, and promptly inspecting the component and documentation.

12. Inspection before use

The customer must inspect the component, identifying information, condition, packaging, and documentation before installation, operation, disassembly, alteration, or use.

The customer must promptly notify PowerCrest of a suspected mismatch, damage, or defect and preserve the component and packaging. Installing, operating, disassembling, altering, repairing, misusing, contaminating, or damaging a component ends eligibility under PowerCrest’s voluntary return program, subject to non-waivable law.

13. Customer responsibility for selection and compatibility

The customer is responsible for determining that the requested component is correct and suitable for its intended equipment, configuration, environment, and use. PowerCrest may assist with sourcing and identification, but does not replace the judgment of the equipment owner, operator, engineer, maintenance organization, or other qualified professional.

The customer is responsible for errors arising from inaccurate or incomplete part numbers, serial numbers, models, specifications, documentation requirements, compatibility requirements, or other information the customer provides.

14. Installation and regulated applications

Components must be inspected, handled, stored, installed, tested, maintained, and used by appropriately qualified personnel in accordance with applicable manuals, procedures, regulations, and industry requirements.

For aviation components, the purchaser, aircraft owner or operator, and qualified maintenance personnel are solely responsible for determining:

  • identity and applicability;
  • installation eligibility;
  • conformity and traceability requirements;
  • airworthiness;
  • continued-airworthiness requirements; and
  • compliance with Federal Aviation Administration, foreign civil aviation authority, and other applicable rules.

PowerCrest provides only the airworthiness, traceability, condition, or other documentation expressly identified in the approved quote. A part number, document, or sourcing statement is not itself a determination by PowerCrest that a component is airworthy or eligible for installation on a particular aircraft.

The same allocation of responsibility applies, as relevant, to rail, marine, locomotive, engine, safety-critical, and other regulated applications.

15. Component condition and documentation

A component may be quoted as new OEM, new aftermarket, refurbished, used, serviceable, or another expressly described condition. The condition stated in the approved quote controls.

PowerCrest will not represent documentation, certification, traceability, manufacturer status, origin, condition, or warranty as included unless it has been verified for the order. The customer must identify required documentation before approving the quote.

16. Warranties

A component has voluntary warranty coverage only when the approved quote expressly states the coverage and its duration. No one-year or other warranty should be assumed.

If the approved quote includes valid warranty coverage, PowerCrest will administer the claim subject to the quote, the applicable warranty terms, timely notice, supporting evidence, and verification. PowerCrest is not required to disclose confidential supplier information.

If the approved quote states that no warranty applies, or does not identify warranty coverage, PowerCrest provides no voluntary warranty.

TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT FOR A WRITTEN WARRANTY EXPRESSLY INCLUDED IN THE APPROVED QUOTE, COMPONENTS AND SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT VOLUNTARY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR OTHER EXPRESS OR IMPLIED WARRANTIES.

Some jurisdictions do not allow exclusion or limitation of implied warranties or statutory guarantees. In those jurisdictions, this section applies only to the extent permitted by law and does not reduce non-waivable rights.

17. International orders

International orders are accepted case by case. PowerCrest may refuse a destination, end user, end use, transaction, or shipment that creates legal, regulatory, fraud, safety, sanctions, or commercial risk.

Unless applicable law or the approved quote provides otherwise, the customer is responsible for:

  • import and end-use permits;
  • customs clearance;
  • duties, tariffs, taxes, and brokerage fees;
  • destination-country registration and compliance;
  • lawful import, possession, installation, use, resale, and re-export; and
  • providing accurate end-user and end-use information.

The customer may not request, purchase, export, re-export, transfer, or use a component in violation of United States export controls, sanctions, anti-boycott rules, or other applicable law.

Consumer rights vary by country. PowerCrest’s voluntary 48-hour cancellation and 24-hour delivery-claim periods do not override a mandatory withdrawal period, conformity right, legal guarantee, refund right, or other protection that applies to a qualifying consumer. Whether an exception for customized or made-to-order goods applies depends on the particular order and governing law.

18. Prohibited conduct

You may not:

  • use the Site or a component for an unlawful, fraudulent, deceptive, or unauthorized purpose;
  • provide false identity, end-user, end-use, shipping, payment, or technical information;
  • violate export, sanctions, customs, aviation, transportation, safety, intellectual-property, or other applicable laws;
  • interfere with the Site, introduce malicious code, scrape it in a harmful manner, or attempt unauthorized access;
  • copy, exploit, or misrepresent PowerCrest content or branding; or
  • use a component contrary to applicable law, approved documentation, or qualified professional requirements.

PowerCrest may restrict access, reject a transaction, or cancel an unfulfilled order when reasonably necessary to address prohibited conduct. Any refund remains subject to applicable law and PowerCrest’s rights regarding fraud, loss, or charge reversal.

19. Intellectual property

The Site’s original text, graphics, design, selection, arrangement, and PowerCrest branding are owned by or licensed to PowerCrest and are protected by applicable intellectual-property laws.

Third-party names, trademarks, part numbers, photographs, and materials remain the property of their respective owners. Identification of a third-party product does not grant any license or imply affiliation.

20. Third-party services and Shopify

The Site may use Shopify and other third-party services for hosting, payment processing, shipping, analytics, communications, or links. Those services may be governed by separate terms and privacy practices.

PowerCrest is the seller of the components. Shopify and other service providers are not parties to the sales contract between PowerCrest and the customer and are not responsible for the components, quote, inspection, fulfillment, or customer service.

PowerCrest is not responsible for an independent third-party service to the extent the issue is outside PowerCrest’s reasonable control, but this does not eliminate obligations that applicable law places on PowerCrest as the seller.

21. Electronic communications

You consent to receive transaction-related communications electronically at the email address or phone number you provide. These may include quotes, order confirmations, requests for information, payment notices, delay notices, inspection updates, shipping notices, cancellation confirmations, and return or warranty decisions.

You are responsible for keeping your contact information accurate and monitoring it. Marketing communications, if any, are subject to separate consent and applicable law.

22. Disclaimer of technical reliance

Site content and general communications are provided for general informational and sourcing purposes. They are not engineering, maintenance, airworthiness, legal, export-control, or regulatory advice.

The customer must use qualified professionals and controlling technical data to make safety, compatibility, installation, maintenance, and regulatory decisions.

23. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, POWERCREST AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF USE, DOWNTIME, BUSINESS INTERRUPTION, REMOVAL OR REINSTALLATION COSTS, SUBSTITUTE EQUIPMENT COSTS, OR LOSS OF DATA, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE FULLEST EXTENT PERMITTED BY LAW, POWERCREST’S TOTAL LIABILITY ARISING FROM A COMPONENT, ORDER, QUOTE, OR RELATED CLAIM WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO POWERCREST FOR THE AFFECTED ORDER.

These limitations do not apply to liability that cannot legally be excluded or limited, and they do not reduce any non-waivable consumer remedy.

24. Customer responsibility and indemnification

To the fullest extent permitted by law, you are responsible for claims, losses, penalties, costs, and reasonable legal fees arising from your:

  • misuse, unlawful use, unauthorized installation, or improper handling of a component;
  • inaccurate information or unauthorized instructions;
  • violation of export, sanctions, customs, safety, aviation, or other applicable law;
  • unlawful resale, transfer, re-export, or end use; or
  • material violation of these Terms.

If you act for a business, you agree to defend and indemnify PowerCrest from third-party claims arising from those acts or omissions. This provision does not require a consumer to indemnify PowerCrest where prohibited by law and does not protect PowerCrest from responsibility that applicable law does not permit it to avoid.

25. Events outside reasonable control

PowerCrest is not responsible for delay or failure caused by events outside its reasonable control, including supplier disruption, carrier interruption, customs action, governmental restriction, natural disaster, labor disruption, war, terrorism, epidemic, cyberattack, utility failure, or transportation emergency.

This section does not eliminate legally required delay notices, cancellation rights, refunds, or other non-waivable obligations.

26. Governing law and disputes

These Terms and transactions with PowerCrest are governed by the laws of the State of California, without regard to conflict-of-law principles.

To the extent a dispute may lawfully be subject to an exclusive forum agreement, the state and federal courts serving Los Angeles County, California will have exclusive jurisdiction. Each party consents to personal jurisdiction there.

This section does not deprive a consumer of the protection of mandatory law or access to a court or forum that applicable law does not permit the parties to exclude.

27. Severability and waiver

If a provision is found invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective.

PowerCrest’s failure to enforce a provision is not a waiver. A waiver is effective only when in writing and applies only to the specific instance identified.

28. Entire agreement

These Terms, the approved quote, the Refund and Return Policy, and any other policy expressly incorporated into the approved quote constitute the agreement concerning the order. They replace prior or contemporaneous discussions about the same subject, except for fraud or rights that cannot lawfully be excluded.

29. Changes to these Terms

PowerCrest may update these Terms by publishing a revised version with a new effective date. Changes apply prospectively and do not alter an accepted order unless the customer agrees or applicable law requires the change.
